1. Agreement to these Terms

These Terms & Conditions (the "Terms") form a binding agreement between you and EnfraAI Inc. ("Enfra," "we," "us," or "our") and govern your access to and use of the Enfra website, web application, agent, integrations, and related services (together, the "Service").

By signing up for an account, starting a free trial, or otherwise accessing or using the Service, you confirm that you have read, understood, and agree to be bound by these Terms and by our Privacy Policy, which is incorporated here by reference. If you do not agree, do not use the Service.

If you are using the Service on behalf of a company or other organization, you represent that you have authority to bind that organization to these Terms, and "you" refers to that organization.

4. Eligibility & accounts

You must be at least 18 years old and able to form a binding contract to use the Service. The Service is intended for business use, not for consumers.

You are responsible for the accuracy of the information you provide at sign-up and for keeping your account credentials secure. You are responsible for all activity that occurs under your account. Notify us promptly at info@enfra.ai if you suspect unauthorized use. You may not share your account, resell access, or let anyone you haven't authorized use it on your behalf.

5. What Enfra does — and doesn't (yet)

Enfra is an AI marketing platform focused on search visibility for businesses. Depending on your plan and the integrations you connect, the Service can:

What Enfra does not do (currently). Enfra does not manage or run paid advertising campaigns or spend ad budgets on your behalf, and it does not place media buys. Some capabilities described on our website (including certain ad and AI-visibility features) are in development or early access and may not be available to you. We describe the Service as it actually functions for your account; marketing materials are not promises of features.

We may add, change, or remove features at any time. We are not obligated to maintain any particular feature, data source, or integration.

6. Free trial, messages & plans

New users may receive a free trial that includes a limited number of messages and a limited time window, with data sources enabled during the trial. When the included messages or the trial period are used up, you must either supply your own AI provider API keys (see Section 8) or upgrade to a paid plan to continue using the Service.

We may change, limit, or discontinue trials and message allowances at any time, and we may determine eligibility for trials in our discretion. Current allowances, message limits, and plan options are shown in the product under Plan & Usage.

7. Fees, billing & subscriptions

Paid plans are billed in advance on a recurring (e.g., monthly) basis at the prices shown in the product at the time you subscribe. By upgrading, you authorize us and our payment processor to charge your chosen payment method for the applicable fees, plus any taxes, on each renewal until you cancel.

If a payment fails or is overdue, we may suspend or downgrade your access until the amount is paid.

8. Bring-your-own AI API keys

The Service lets you supply your own API keys for third-party AI providers (for example, Anthropic, OpenAI, Google, or Perplexity) to power the Agent. If you choose to use your own keys:

We take reasonable measures to protect stored keys but are not responsible for a provider's acts, outages, pricing, or model behavior.

9. Connected integrations & third-party platforms

The Service works with third-party platforms, including Google services (Search Console, Business Profile, Keyword Planner, Docs, and Sheets), WordPress, Slack, AI providers, and search-data providers. When you connect an account, you authorize Enfra to access and exchange data with it through the permissions you grant, solely to provide the Service.

10. Actions the Agent takes on your accounts

For tasks that change something outside the Service — such as publishing or editing content on WordPress, or updating your Google Business Profile, posting to it, replying to a review, or answering a question — the Agent follows a propose-then-approve flow: it shows you the proposed change and only carries it out after you explicitly approve it.

You own approved actions. When you approve a proposed action, you authorize Enfra to make that change on your behalf, and you are responsible for it as if you had made it yourself.

Some changes — for example, Google Business Profile updates, posts, and review replies — go live immediately on Google Maps and Search once approved. Review proposals carefully before approving.

You are responsible for ensuring you have the authority to make changes to any website, profile, or listing you connect, and that approved content is accurate, lawful, and compliant with the relevant platform's policies (including Google's content and review policies).

11. AI-generated output & no guarantee of results

Output is generated by AI and may be inaccurate, incomplete, outdated, or unsuitable. The Agent produces text and analysis probabilistically; it can make mistakes, misclassify intent, or rely on third-party data that is itself estimated or wrong. You are responsible for reviewing and verifying Output before relying on it, publishing it, or making business decisions based on it.

Output is not professional advice — it is not legal, financial, accounting, or tax advice. Similar or identical Output may be generated for other users; we make no claim that Output is unique.

We do not guarantee results. Search rankings, Map Pack placement, traffic, impressions, leads, calls, conversions, AI-assistant citations, and revenue are determined by third parties (such as Google and AI platforms) and by factors outside our control. We do not warrant any particular ranking, visibility, traffic level, or business outcome, and nothing in the Service is a promise of results.

12. Your responsibilities & acceptable use

You agree to use the Service lawfully and responsibly. In particular, you will:

You are responsible for the content you submit and approve and for ensuring you have the rights to use it. We may investigate and take action — including removing content or suspending access — for suspected violations.

13. Your content & data

As between you and us, you retain all rights to Your Content. You grant Enfra a worldwide, non-exclusive, royalty-free license to host, store, process, transmit, display, and otherwise use Your Content and data from your Connected Accounts solely to operate, provide, secure, and improve the Service for you and to perform the tasks you request (including running Workflows and delivering results to the destinations you choose).

You represent that you have the rights and permissions necessary to provide Your Content and to grant this license, and that Your Content and your use of the Service do not violate any law or third-party right.

You are responsible for keeping your own copies of important content. We may set limits on storage, message volume, or usage, and may delete content associated with closed or long-inactive accounts.

14. Intellectual property

Our IP. The Service — including the software, Agent, models and prompts we operate, designs, interfaces, and the Enfra name and logo — is owned by Enfra or its licensors and is protected by intellectual-property laws. We grant you a limited, non-exclusive, non-transferable, revocable right to access and use the Service during your subscription, subject to these Terms. We reserve all rights not expressly granted.

Output. Subject to your compliance with these Terms and payment of applicable fees, and to the extent we hold rights in it, we assign to you our rights in the Output generated specifically for you, so you can use it for your business. This does not extend to any third-party materials, underlying models, or our pre-existing or general technology, and is subject to the limitations in Section 11.

Feedback. If you send us suggestions or feedback, you grant us a perpetual, irrevocable, royalty-free license to use it without restriction or obligation to you.

15. Privacy & confidentiality

Our handling of personal data is described in our Privacy Policy. By using the Service, you acknowledge that data will be processed as described there.

To operate and support the Service, your in-product messages and activity are stored and may be visible to our team (including through internal tools such as Slack) so we can provide support, debug issues, and improve the Service. We may also create and use aggregated or de-identified data that does not identify you or your business.

To deliver the Service, Your Content may be transmitted to third-party providers such as AI model providers and search-data providers; their handling of that data is governed by their own terms. If you require a data processing agreement, contact info@enfra.ai.

16. Service availability, changes & beta features

We aim to keep the Service available but do not guarantee uninterrupted or error-free operation. The Service may be unavailable for maintenance, updates, or reasons beyond our control, and third-party dependencies may fail or change. We may modify, suspend, or discontinue all or part of the Service at any time.

Some features may be offered as trials, previews, "early access," or "beta." These are provided as is, may be changed or withdrawn at any time, may be less reliable, and are excluded from any service commitments.

17. Disclaimers of warranties

To the maximum extent permitted by law, the Service and all Output are provided "as is" and "as available," without warranties of any kind, whether express, implied, or statutory, including any implied warranties of merchantability, fitness for a particular purpose, title, accuracy, and non-infringement.

We do not warrant that the Service or Output will be accurate, reliable, complete, secure, uninterrupted, or error-free; that defects will be corrected; or that the Service will achieve any particular result, ranking, or business outcome. Any reliance on the Service or Output is at your own risk. Some jurisdictions do not allow certain warranty exclusions, so some of these may not apply to you.

18. Limitation of liability

To the maximum extent permitted by law, Enfra and its officers, employees, and suppliers will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, goodwill, rankings, traffic, or business opportunities, arising out of or relating to the Service or these Terms, even if we have been advised of the possibility of such damages.

To the maximum extent permitted by law, our total aggregate liability arising out of or relating to the Service or these Terms will not exceed the greater of (a) the total fees you paid us for the Service in the three (3) months immediately before the event giving rise to the claim, or (b) USD 100.

These limitations do not exclude liability that cannot be excluded under applicable law. They apply regardless of the theory of liability and reflect the allocation of risk between us.

19. Indemnification

You will defend, indemnify, and hold harmless Enfra and its officers, employees, and agents from and against any claims, damages, losses, liabilities, and reasonable expenses (including legal fees) arising out of or related to: (a) Your Content or the content and actions you approve; (b) your use of the Service or Connected Accounts; (c) your violation of these Terms or of any law or third-party right (including any platform's policies); or (d) your supplied API keys and any usage charges associated with them.

20. Suspension & termination

You may stop using the Service and close your account at any time. We may suspend or terminate your access, with or without notice, if you breach these Terms, fail to pay, use the Service in a way that risks harm or legal exposure, or if we discontinue the Service.

On termination: your right to use the Service ends; scheduled Workflows stop running; and we may delete Your Content and data after a reasonable period, except where we must retain it by law. Where practicable, you may export your data before closure (for example, via the export and delivery features). Sections that by their nature should survive — including Sections 11, 13–14, 17–19, 22, and 23 — will survive termination.

21. Changes to these Terms

We may update these Terms from time to time. If we make material changes, we will provide reasonable notice (for example, by email or in-product) and update the "Last updated" date above. Changes take effect when posted unless stated otherwise. Your continued use of the Service after changes take effect means you accept the updated Terms; if you don't agree, stop using the Service.

22. Governing law & dispute resolution

These Terms are governed by the laws of the State of Delaware, USA, without regard to its conflict-of-laws rules. Subject to any binding arbitration provision the parties may agree to, you and Enfra submit to the exclusive jurisdiction of the state and federal courts located in Delaware for any dispute not subject to arbitration.
